Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the website, platform, and services provided by Opal Software US Inc. (“Opal,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. Eligibility & Account Requirements
To use the Services, you must:
- Be a U.S.-based business entity or an authorized representative acting on behalf of such an entity.
- Be at least 18 years old and legally able to enter into binding agreements.
- Provide accurate and complete information during onboarding and maintain the accuracy of your account details
You authorize Opal, our banking partners, and third-party service providers to collect, verify, and review information about you and your business, including through Know Your Business (KYB) and Know Your Customer (KYC) procedures.
2. Relationship to Banking & Credit Partners
Opal partners with CapitalOS and First Internet Bank of Indiana, Member FDIC, in connection with credit underwriting and card issuance.
- The Opal Card is issued by First Internet Bank of Indiana pursuant to a license from Visa Inc.
- Credit is provided by CapitalOS, Inc.
- By using the Opal Card or related credit features, you also agree to all applicable partner terms, policies, and disclosures, which are incorporated herein by reference.
Opal is a software and service provider - not a bank.
3. Use of Services
You agree to use the Services only for lawful business purposes. You must not:
- Engage in fraudulent, deceptive, or unauthorized activity.
- Attempt to access or interfere with systems, data, or accounts not belonging to you.
- Use the Services to support illegal advertising, prohibited business activities, money laundering, or compliance-evading behavior.
Abuse, resell, or attempt to circumvent Opal’s credit, cash-back, spend controls, or risk systems.Opal may monitor, suspend, or terminate access to the Services if suspicious or prohibited behavior is detected.
4. Privacy & Data Protection
Your privacy is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you consent to:
- Our use of aggregated and anonymized data to improve and analyze product performance.
- Our access to connected ad accounts and financial data where required to deliver the Services.
- Information sharing with banking, credit, payment, fraud, compliance, and infrastructure partners as necessary to operate the Services.
We do not sell, rent, or trade your personal information.
5. Payments, Transactions & Card Use
5.1 Opal Card
The Opal Card is a pay-in-full charge card. Your full statement balance is due on each monthly payment due date. If automatic debits from your designated bank account or Opal Balance fail, your card may be locked until payment is made.
5.2 Accuracy of Information
You agree to provide accurate billing, business, and banking information and authorize us to debit the accounts you designate for repayment.
5.3 Disputes & Errors
You must notify us promptly of any suspected errors, unauthorized charges, or billing concerns. Dispute timelines and processes may be governed by our banking partner’s rules and applicable law.
6. Business Performance Reviews & Credit Changes
Your business performance may be periodically reviewed to assess eligibility for credit adjustments. If additional credit is offered, you may accept or decline the increase at your discretion.
We may request updated business or financial information at any time and may adjust or reduce limits based on risk.
7. Intellectual Property
All software, content, branding, and materials available through the Services are owned by Opal or its licensors and protected by intellectual property laws.
You may not copy, modify, distribute, reverse-engineer, or create derivative works from our materials without written permission.
8. Third-Party Services
The Services may integrate with third-party platforms such as Meta Ads, Google Ads, banking APIs, and risk evaluation systems.
You acknowledge that:
- Opal is not responsible for downtime or service changes by third parties.
- You must comply with any applicable third-party terms.
- Data shared with or accessed through those integrations is governed in part by those providers.
9. Suspension & Termination
We may suspend or terminate your account or card access if:
- You violate these Terms.
- Risk, fraud, or compliance concerns arise.
- Information you provide is inaccurate or cannot be verified.
- Required payments are not made on time.
Upon termination, all outstanding amounts owed must be paid in full. Certain obligations—including payment, indemnification, and intellectual property provisions—will survive termination.
10. Disclaimers
The Services are provided “as is” and “as available.” We do not warrant that the Services will be uninterrupted, secure, error-free, or suitable for your specific business needs.
11. Limitation of Liability
To the fullest extent permitted by law:
- Opal, its partners, and its affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.
- Our total liability for any claim arising out of the Services will not exceed the amount paid to Opal in the preceding 12 months, or $100 if no such payments have been made.
This limitation applies even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless Opal, our partners, and our affiliates from any claims, losses, liabilities, and expenses arising from:
- Your use or misuse of the Services,
- Your violation of these Terms, or
- Your interactions with third-party platforms or processors.
13. Modification of Terms
We may update these Terms from time to time. If changes are material, we will notify you through the Services or via email.
Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law & Arbitration
These Terms are governed by the laws of the State of Delaware. Any dispute arising under these Terms will be resolved through binding arbitration on an individual basis. You agree to a waiver of class actions and jury trials.
